You request a Fleet Titanium Cash Rebate account upon
approval by Fleet Bank (RI), National Association in Rhode
Island. You agree to the terms of the Cardholder Agreement
disclosed below and/or mailed with your Card, including those
which provide that the Cardholder Agreement and your account
will be governed by Rhode Island and Federal law and that your
Agreement terms (including but not limited to rates and
fees) are subject to change. You agree to pay all amounts
charged to your account by you or any person you authorize to
use your account. You must be of legal age. Fleet must be able
to verify the accuracy of all information you provide. You
must meet Fleet's creditworthiness requirements. Fleet may
obtain reports from credit bureaus, and if you ask, you will
be given the name and address of any bureau providing a
report. Under federal law, FleetBoston Financial
Corporation and its affiliates, which include Fleet banks,
Fleet Mortgage Group, Quick and Reilly, Inc. and other members
of the Fleet family of companies, may share with each other
information about you and your accounts unless you direct them
not to. Fleet and its affiliates may share information about
transactions and experiences with you like your name, address
and repayment history. You may prohibit Fleet and its
affiliates from sharing information with each other about you
and your accounts, other than transaction and
experience-related information described above by mailing a
written request with your name and address to Customer Server,
P.O. Box 15480, Wilmington, DE 19850.
Your specific
credit line will be assigned based on various factors,
including income and credit status. To qualify for a Fleet
Titanium
Cash Rebate Visa Card account, you must be
assigned a minimum $5,000 credit line. If you don't qualify
for a Fleet Titanium Cash Rebate Visa Card account, Fleet may
forward my application and any other information obtained inconnection
with my application to another lender for futher consideration and agree
that the other lender may obtain a consumer report for this purpose.
You understand that cash advances may be
limited to a portion of the credit line you are assigned. This offer is
non-transferable and may not be accepted if you provide only a P.O. Box or
foreign address, have another Fleet credit card account that has been open for
less than three months, or have another Fleet credit card application in
progress.

(24.99% APR, .06847% daily
periodic rate, today).

advances will be the higher of (a) 19.8% APR (.05425%

payment when due, exceed your credit limit, make a payment on
your account which fails to clear and

Titanium Visa Card members. We reserve the right to change the
benefit features associated with your Card at any time.

that no agreement, court order or individual statement
applying to marital property will affect a creditor's interest
unless prior to the time credit is granted, the creditor is
provided with a copy of the agreement, court order or
statement, or has actual knowledge of any adverse provision.

HOW TO EARN YOUR CASH REBATE
Rebates are accumulated in tiered increments with your rebate
percentages and amounts based on the total dollar amount of
your annual qualifying purchase and cash advance transactions.
The maximum rebate that can be earned in any year is $500.
Balance transfers do not count toward the rebate. The Cash
Rebate Program is subject to certain conditions and exclusions
as described in the Cash Rebate Program Rules below and / or
mailed with your Cash Rebate card.
CASH REBATE PROGRAM RULES
As the primary cardholder of the Fleet Cash Rebate account from Fleet
Bank (RI), National Association, you can automatically earn up
to a 2% annual rebate on qualifying transactions made with
your Cash Rebate card. Please read and retain these rules,
which are separate and distinct from your Cardholder
Agreement.
1. General. Under the Cash Rebate ("Rebate")
program ("Program"), you will earn Rebate dollars on
qualifying transactions made with your Cash Rebate account
("Account"). Rebates will be earned in the following
increments: .25% on the first $1,999.00 of your annual
qualifying transactions; .50% on annual qualifying
transactions from $1,999.01 to $3,999.00; .75% on annual
qualifying transactions from $3,999.01 to $5,999.00; 1% on
annual qualifying transactions from $5,999.01 to $7,999.00;
and 2% on the portion of your total annual qualifying
transactions which exceed $7,999.00. For each calendar year,
rebates will accrue monthly as of your billing cycle closing
date and will be distributed within 45 days after that
year's end. The maximum Rebate that can be earned in any one
calendar year is $500.00. There will be no calculation or
carry over of any excess Rebate above that amount. Rebates
earned of less than $1.00 will not be issued, but will be
carried over to your next year's Rebate calculation.
2. Qualifying Transactions. Transactions posted to
your Account which count toward the Rebate include purchases
of goods and services (which are not returned or otherwise
the subject of a credit). Balance Transfers, cash advances
(including Drafts, withdrawals from ATMs and originations
from the credit card itself), credits (for returned
merchandise or otherwise), payments, adjustments, finance
charges, annual membership, late, overlimit, returned check,
and cash advance fees and similar fees and charges do not
qualify toward the Rebate. Deductions are made in the amount
of any purchase of goods or services which are returned (or
otherwise the subject of a credit). Deductions are made for
any purchase of goods or services which becomes the subject
of a dispute unless and until final resolution of the
dispute results in a debit to your Account. With respect to
transactions made with lost, canceled, stolen or fraudulent
Cash Rebate cards, draft checks, or Accounts, no Rebate will
be earned, and Rebates previously earned will be deducted.
3. Participation. To participate in the program,
you as the primary accountholder, and any joint
accountholder or authorized user, must reside in the United
States and your Account must be in good standing. Qualifying
transactions made by any joint accountholder or authorized
user will count toward the Rebate. Any termination of your
participation in the Program also constitutes the
termination of any joint accountholder's or authorized
user's participation, as described herein. Corporations,
partnerships, associations, and other legal entities are not
eligible to participate, and it is understood that your
Account may only be used for consumer purposes.
4. Good Standing. Rebate dollars may not be earned
or redeemed if your Account is delinquent, or otherwise in
default under the terms and conditions of your Cardholder
Agreement, closed for any reason, or not otherwise in good
standing. In the event that we close your Account because it
is not in good standing, or is closed by you for any reason,
the Rebate will be forfeited.
5. Taxes/Legal Representations. Any tax obligations
related to the Program are the responsibility of the
accountholder. We make no promises or representations as to
the current or future tax or legal consequences of the
earning, possession, redemption, and/or disposition of your
Rebate. Please consult your tax or legal advisor concerning
any tax or other consequences related to participation in
the Program.
6. Statements. Information about the Rebate accrued
on your Account will appear on your monthly billing
statement. The Rebate listed on your statement is subject to
adjustment. If there is no activity on your Account, you may
not receive a monthly billing statement. If you do not
receive a monthly billing statement and/or you have
questions about your Rebate or the Program, please contact
Customer Service.
7. Rebate Discrepancies. Rebate discrepancies must
be brought to our attention promptly but in no event later
than ninety (90) days from the date of the transaction for
which an adjustment is sought in order for any appropriate
adjustment to be made. Otherwise, Rebate accrued will be
deemed accurate and you will have waived all claims for
adjustment. Rebate discrepancies do not constitute billing
errors on your Account and payments are due as provided in
your Cardholder Agreement.
8. Disqualification. We reserve the right to
disqualify any person and/or Account from participation in
the Program and close your Account if, in our sole judgment,
your Account is not in good standing or you or any other
person using your Account has violated any of the terms,
conditions, and/or purpose of the Account and/or Program,
including but not limited to fraud, excessive transactions,
or other abuse. Such disqualification may be temporary or
permanent and result in the forfeiture of accumulated
Rebate.
9. Changes. We may, from time to time, change or limit
any aspect of the Program and its rules, restrictions,
benefits, or features, in whole or in part, with or without
notice to you. Changes may affect outstanding transactions
and Rebates.
10. Termination. The Program is not scheduled to
terminate on any set date. We reserve the right, however, to
terminate the Program, in whole or in part, at any time,
with or without notice to you. In the event that the Program
is terminated, accumulated Rebate dollars may be
forfeited.
11. Governing Law. All aspects of the Program and
participation therein are governed by the laws of the State
of Rhode Island, without reference to its choice of law
provisions.
12. Audits. We reserve the right to audit your
Account for compliance with the Program rules. In the event
an audit reveals any type of discrepancy, the accrual and/or
distribution of Rebates may be delayed until such
discrepancies are resolved.
